1. Contract Formation
By accessing or using the Nappoqueen website located at https://1db84j-yk.myshopify.com, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions contained herein, do not use this site. Your use of the site constitutes acceptance of these terms.
2. Governing Law and Venue
These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the State of New Mexico. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in New Mexico.
3. Binding Individual Arbitration Clause
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be conducted by a single arbitrator in Clovis, New Mexico. You have the right to opt-out of this arbitration clause within 30 days of accepting these Terms by sending a written notice to operations@vhsdigitalbusiness.com.
4. Class Action Waiver
You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, no arbitration or proceeding shall be joined with any other; there is no right or authority for any dispute to be arbitrated on a class-action basis or to utilize class action procedures.
5. Limitation of Liability
To the maximum extent permitted by law, VHS Digital Business LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the site or any products purchased through the site. Our total liability to you for any claim arising from or related to these Terms or the site shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
6. Intellectual Property
All content on this site, including but not limited to text, graphics, logos, images, and software, is the property of Nappoqueen or its content suppliers and is protected by United States and international copyright laws. You may not use, reproduce, distribute, or create derivative works from any content on this site without express written permission from Nappoqueen.
7. User Obligations
By using this site, you agree not to engage in any fraudulent activities, use any automated means to access the site, or resell products purchased from the site without authorization. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer.
8. Disclaimer of Warranties
Except as expressly provided, the site and all products and services offered through it are provided on an "AS IS" and "AS AVAILABLE" basis. To the extent permitted by law, VHS Digital Business LLC disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose. This disclaimer does not affect any warranties that cannot be excluded or limited under applicable law, including the Magnuson-Moss Warranty Act.
9. Dispute Resolution
If you have any dispute with us, you agree to contact us at operations@vhsdigitalbusiness.com and provide a brief, written description of the dispute and your contact information (including your email address). Before initiating arbitration, you agree to attempt to resolve the dispute informally by contacting us. If the dispute is not resolved within 30 days, you may proceed to arbitration.
10. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, the remaining provisions will remain in full force and effect.
11. Modifications of the Terms
We reserve the right to modify these Terms at any time. If we make changes, we will notify you by revising the date at the top of these Terms. Your continued use of the site following the posting of changes constitutes your acceptance of such changes.
12. Termination
We may terminate or suspend your account and bar access to the site immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Notwithstanding the arbitration clause, nothing in these Terms shall waive any consumer's right to seek public injunctive relief under California law (per McGill v. Citibank, 2 Cal. 5th 945 (2017)).
